These Terms and Conditions (the “Agreement”) govern your participation in the Omziki Affiliation Program (the “Program”) and are between you (the “Affiliate”) and Omziki Distribution, a division of Nisoft Dynamics Ltd (hereinafter referred to as “Omziki,” “we,” “us,” or “our”). The services related to the Program are provided by Nisoft Dynamics Ltd, including its divisions, such as Omziki Distribution.
By participating in the Program, you agree to comply with all the terms and conditions set forth in this Agreement. If you do not agree with any of the terms, you should not participate in the Program.
1. Eligibility
To participate in the Omziki Affiliation Program, you must meet the following criteria:
- You must be at least 18 years of age.
- You must have a valid email address and access to the internet.
- You must provide accurate information during registration and maintain updated details.
- You must comply with all applicable laws and regulations in your country of residence.
2. Affiliate Account
To join the Program, you must create an account on the Omziki platform. As part of this process, you will:
- Provide accurate and up-to-date contact information.
- Choose a unique affiliate ID, which will be used to track your referrals.
- Maintain the confidentiality of your affiliate login credentials and account information.
- Notify Omziki immediately of any unauthorized use of your account.
3. Referral Process
Affiliates can promote Omziki products and services through unique affiliate links or codes provided by Omziki. To earn commissions, a customer must use your affiliate link/code to make a purchase, and the transaction must be successfully completed. Omziki is not responsible for missed commissions due to improper use of the affiliate link/code.
4. Commissions and Payments
- Commission Structure: Affiliates will earn commissions based on sales made through their affiliate link. The commission rate is 7%, and the payout structure is based on the price of the referred product/service.
- Payment Frequency: Commissions are paid out on a [weekly/monthly] basis, subject to a minimum threshold of $20.
- Payment Methods: Payments will be made via PayPal, Bank transfer, and Mobile Money.
- Refunds and Chargebacks: If a customer receives a refund or chargeback for a purchase, any associated commission will be deducted from the affiliate’s account.
5. Affiliate Responsibilities
As an Affiliate, you agree to:
- Use only approved promotional materials provided by Omziki.
- Market Omziki’s products and services in a manner that reflects positively on the company.
- Not engage in misleading or deceptive practices when promoting Omziki.
- Not bid on or use Omziki’s trademarks in paid search advertisements without prior written approval.
- Not promote Omziki’s products and services in a way that violates applicable laws or regulations.
- Maintain professional behavior and avoid any conduct that could harm Omziki’s reputation.
6. Prohibited Conduct
The following activities are strictly prohibited:
- Spamming: Sending unsolicited emails or messages to promote your affiliate link.
- Cookie Stuffing: Placing tracking cookies on a user’s device without their consent to earn commissions fraudulently.
- Inaccurate Advertising: Making false claims or misrepresentations about Omziki products or services.
- Violating Intellectual Property: Using Omziki’s trademarks or copyrighted materials inappropriately.
- Falsifying Traffic or Sales: Engaging in any deceptive practices to generate fake traffic or sales to your affiliate link.
7. Affiliate Link Usage
You will be provided with an affiliate link or code to promote Omziki products and services. You may use these links on your website, blog, social media accounts, or other platforms. The links must not be altered in any way, and all promotional materials must be approved by Omziki.
8. Termination of Agreement
Omziki reserves the right to terminate or suspend an affiliate’s account at any time, for any reason, including but not limited to:
- Breach of the terms outlined in this Agreement.
- Engaging in fraudulent or illegal activity.
- Harmful conduct towards Omziki or its brand. Upon termination, any unpaid commissions will be forfeited, and the Affiliate must immediately stop using Omziki’s promotional materials.
9. Modification of Terms
Omziki reserves the right to modify, suspend, or terminate the Program at any time, with or without notice. Any changes to the terms will be posted on this page, and it is your responsibility to review them periodically. Continued participation in the Program after changes are made will constitute your acceptance of those changes.
10. Indemnity
You agree to indemnify, defend, and hold harmless Omziki, its officers, directors, employees, affiliates, and agents from any claims, losses, or damages arising out of or related to your participation in the Program, including any breach of this Agreement.
11. Limitation of Liability
Omziki’s total liability to you under this Agreement will not exceed the amount of commissions paid to you under the Program in the six months preceding the event giving rise to the claim. Omziki will not be liable for any indirect, incidental, or consequential damages arising out of your participation in the Program.
12. Confidentiality
As an Affiliate, you agree not to disclose or use for your own benefit any confidential information you may receive from Omziki. This includes, but is not limited to, sales data, customer information, and business strategies.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Uganda. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Uganda.
14. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15. Entire Agreement
This Agreement constitutes the entire understanding between you and Omziki regarding your participation in the Omziki Affiliation Program and supersedes any prior agreements or understandings, whether written or oral, relating to the Program.
By participating in the Omziki Affiliation Program, you acknowledge that you have read, understood, and agree to the terms and conditions outlined above.
